BRUNEI: Enhanced Rights Granted to Minority Shareholders

Shareholders of any Brunei-registered business are to have the right to attend company meetings and speak with regard to any matter arising. The change, an amendment to Brunei’s Companies Act, has been introduced to give minority stakeholders greater powers.

In a further move, notice of any meeting called with regard to a special resolution has to be provided in writing at least 21 days prior to the proposed date of said meeting. Additionally, all company directors are to be required to disclose their interest in any relevant real estate/commercial property transaction.
